"If you were in the United States for less than 183 days during the tax year, capital gains (other than gains listed earlier) are tax-exempt unless they are effectively connected with a trade or business in the United States during your tax year."

Tax Guide for Aliens | Internal Revenue Service

Valeu, @rafelos. Matou a questão.

“Generally speaking, international investors are subject to U.S. taxation on any gain realized on disposition of a U.S. REIT. However, if the REIT qualifies as a domestically controlled REIT, then the international  investor may not be subject to U.S. taxation on the disposition of the REIT. REITs are considered domestically controlled when more than 50 percent of the ownership of the REIT is by U.S. persons.”

Qualified investment entities.

Special rules apply to qualified investment entities (QIEs). A QIE is any real estate investment trust (REIT) or any regulated investment company (RIC) that is treated as a U.S. real property holding corporation (after applying certain rules in section 897(h)(4)(A)(ii)). See U.S. Real Property Interest in Pub. 515 for more information.

Domestically controlled QIE.

The sale of an interest in a domestically controlled QIE is not the sale of a U.S. real property interest. The entity is domestically controlled if at all times during the testing period less than 50% in value of its stock was held, directly or indirectly, by foreign persons. The testing period is the shorter of the:

5-year period ending on the date of disposition, or
Period during which the entity was in existence.

.

For the purpose of determining whether a QIE is domestically controlled, the following rules apply.

A person holding less than 5% of any class of stock of the QIE, which is regularly traded on an established securities market in the United States at all times during the testing period, would be treated as a U.S. person unless the QIE has actual knowledge that such person is not a U.S. person.
Any stock in a QIE that is held by another QIE will be treated as held by a foreign person if:

Any class of stock of such other QIE is regularly traded on an established securities market, or
Such other QIE is a RIC that issues certain redeemable securities. Notwithstanding the above, the stock of the QIE will be treated as held by a U.S. person if such other QIE is domestically controlled.

Stock in a QIE held by any other QIE not described above will be treated as held by a U.S. person in proportion to the stock of such other QIE that is (or is treated as) held by a U.S. person.

"Dispositions of Our Stock

If as expected our stock is not a USRPI, then a non-U.S. stockholder’s gain on the sale of our stock generally will not be subject to U.S. federal income taxation or withholding. We expect that our stock will not be a USRPI because one or both of the following exemptions will be available at all times.

First, for so long as a class of our stock is listed on a U.S. national securities exchange, a non-U.S. stockholder’s gain on the sale of that stock will not be subject to U.S. federal income taxation as a sale of a USRPI. Second, shares of our stock will not constitute USRPIs if we are a “domestically controlled” REIT. We will be a “domestically controlled” REIT if less than 50% of the value of our stock (including any future class of stock that we may issue) is held, directly or indirectly, by non-U.S. stockholders at all times during the preceding five years, after applying specified presumptions regarding ownership of shares of our stock as described in Section 897(h)(4)(E) of the Code.

For these purposes, we believe that the statutory ownership presumptions apply to validate our status as a “domestically controlled” REIT. Accordingly, we believe that we are and will remain a “domestically controlled” REIT.

If, contrary to our expectation, a gain on the sale of our stock is subject to U.S. federal income taxation (for example, because neither of the above exemptions were then available, i.e., that class of our stock was not then listed on a U.S. national securities exchange and we were not a “domestically controlled” REIT), then

(a) a non-U.S. stockholder would generally be subject to the same treatment as a U.S. stockholder with respect to its gain (subject to any applicable alternative minimum tax and a special alternative minimum tax in the case of nonresident alien individuals),

(b) the non-U.S. stockholder would also be subject to fulsome U.S. federal income tax return reporting requirements, and

(c) a purchaser of that class of our stock from the non-U.S. stockholder may be required to withhold 15% of the purchase price paid to the non-U.S. stockholder and to remit the withheld amount to the IRS".

@TMTR3 faz sentido. Agradeço por expressar seu ponto de vista
